Welcome to KBRichardson Consulting. These terms and conditions outline the rules and regulations for the use of our services and website.

1. Definitions

“Company” refers to KBRichardson Consulting, the AI Automation Agency providing lead nurturing and qualification services. “Client” refers to the individual or entity purchasing services from KBRichardson Consulting. “Services” refers to the AI-based lead nurturing, qualification, and other related consulting services provided by the Company.

2. Services Provided

The Company offers AI-driven automation services, including lead nurturing and qualification, appointment setting, and other custom AI solutions. Services will be provided based on the scope of work agreed upon between the Client and the Company. The Company will make reasonable efforts to achieve the objectives outlined in the agreed service scope but does not guarantee specific results or outcomes.

3. Performance-Based Compensation

The Company follows a performance-based compensation structure unless otherwise agreed in writing. Fees, commissions, or other charges will be clearly outlined in the service agreement and may vary based on the results achieved. The Client agrees to timely payment as stipulated in the service agreement.

4. Client Responsibilities

The Client agrees to provide accurate information, including access to relevant data and systems needed to deliver services. The Client must comply with applicable laws regarding data privacy and consent when sharing customer data for lead nurturing. The Client shall not misuse the services, including using them for unlawful purposes or activities.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or sensitive information shared during the course of the engagement. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.

6. Intellectual Property

Any proprietary materials, content, or software developed by the Company during the service period shall remain the property of KBRichardson Consulting, unless otherwise specified. The Client may use any deliverables provided by the Company solely for the purposes agreed upon in the service agreement.

7. Limitation of Liability

The Company shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the services. Liability for any claim arising from the services shall not exceed the fees paid by the Client for the services in question.

8. Termination

Either party may terminate the service agreement with written notice if the other party breaches any material term of the agreement. Upon termination, any outstanding fees owed to the Company shall become immediately due and payable.

9. Changes to Terms

The Company reserves the right to amend these terms and conditions at any time. Notice of changes will be posted on our website, and continued use of services after changes are made constitutes acceptance of the revised terms.

10. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of The State of Texas. Any disputes arising out of or related to these terms will be resolved exclusively in the courts located in The State of Texas.

12. Disclaimer of Guarantees

KBRichardson Consulting strives to provide high-quality AI automation and lead nurturing services. However, the Company makes no guarantees or warranties, express or implied, regarding specific outcomes or results from the use of our services, including but not limited to:

Lead Conversion Rates: While our services are designed to improve lead qualification and nurturing processes, we cannot guarantee specific conversion rates or sales outcomes.

Accuracy and Completeness: The information and services provided by our AI automation tools are based on the data inputs and parameters provided by the Client. KBRichardson Consulting is not responsible for any inaccuracies, incomplete information, or errors in results due to incorrect or insufficient data provided by the Client.

Performance Outcomes: The effectiveness of AI solutions may vary depending on external factors beyond the Company’s control, including market conditions, the Client’s internal operations, and the quality of the Client's leads.

Third-Party Platforms: We do not guarantee uninterrupted or error-free operation of third-party platforms integrated with our services (such as CRM systems, email marketing tools, etc.).

The Client acknowledges and agrees that KBRichardson Consulting is not responsible for any losses or damages resulting from reliance on the services, nor does the Company guarantee any specific business performance improvements.

13. User Responsibilities and Acceptable Use

By accessing and using the services provided by KBRichardson Consulting, the Client agrees to the following responsibilities and acceptable use policies:

Accurate Information: The Client agrees to provide accurate, complete, and up-to-date information during the course of service engagement, including business data, customer information, and lead details. The Company is not liable for any issues resulting from inaccurate or incomplete data.

Compliance with Laws: The Client agrees to comply with all applicable local, state, national, and international laws, regulations, and industry standards related to the use of our services, particularly those related to data privacy, telecommunication, and consumer protection.

Data Ownership: The Client retains ownership of all data provided for the purposes of using our services. However, the Client grants KBRichardson Consulting the right to use the data to deliver and improve the services as outlined in the service agreement.

Prohibited Use: The Client agrees not to use our services for any illegal or unauthorized purpose, including but not limited to:

Spamming or sending unsolicited communications to individuals without their consent.

Violating data privacy laws, including the General Data Protection Regulation (GDPR) or California Consumer Privacy Act (CCPA).

Engaging in fraudulent, deceptive, or misleading activities.

Distributing harmful software (e.g., viruses, malware) or attempting to compromise the security or integrity of our services or systems.

14. Right to Suspend or Terminate Access

KBRichardson Consulting reserves the right to suspend or terminate access to our services without prior notice if the Client engages in any prohibited use or violates the terms of this User Agreement. The Company is not liable for any losses or damages that result from such suspension or termination.

15. Third-Party Services and Integrations

KBRichardson Consulting services may integrate with or rely on third-party tools, platforms, or services. The Client acknowledges that the availability, performance, and security of third-party services are outside the Company’s control, and the Company is not responsible for any disruptions, errors, or issues related to these third-party services. The Client agrees to adhere to the terms and conditions of any third-party providers used in conjunction with our services.

16. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
